1. Introduction and Agreement

These Affiliate Terms and Conditions (“Agreement”) govern your participation in the KarmaWallet Affiliate Program (“Program”). By applying to and participating in the Program, you (“Affiliate”, “Partner”, or “you”) agree to be bound by these terms. This Agreement is between you and KarmaWallet (“we”, “our”, or “us”).

Our mission is to help seekers walk the path of Dharma through ancient wisdom and modern technology. As a Partner, you represent this mission and agree to maintain the highest standards of integrity and spiritual professionalism.

2. Commission Structure

• Flat 50% Lifetime Commission: You get a flat 50% of every single dollar your referrals spend. This is not a one-time payment.
• Every Renewal, Every Time: Every time a user renews their subscription (monthly or annually) using your named coupon, you receive your 50% share. This continues for the entire lifetime of the user's subscription, forever.
• No Time Limits: Unlike other programs, we do not stop paying you after a year. If your referral stays for life, you earn for life.
• Commissions are calculated based on net revenue, exclusive of taxes, processing fees, chargebacks, and refunds.

3. Tracking and Attribution

Commissions are tracked and attributed exclusively via your unique referral code. You earn your share every time your code is applied to a purchase or renewal transaction. If a transaction occurs without the use of your specific code, it cannot be tracked or attributed to your account. We are not responsible for missed tracking due to user error or failure to apply the code at the time of purchase.

4. Partner Eligibility & Requirements

• Active Usage Required: To be eligible for commission payouts, you must be an active user of KarmaWallet and maintain an active plan on your personal account.
• Mission Alignment: We believe our partners should be active seekers on the path of Dharma. This requirement ensures you are genuinely experiencing the evolution you promote.

5. Payments and Reporting

• Schedule: Payments are processed monthly on the 15th of each month for the previous month's verified earnings.
• Methods: Payouts are made via PayPal or your preferred method. It is your responsibility to provide accurate payment information.
• Minimum Payout: A minimum balance of $50 is required for a payout to be triggered.
• Detailed Reporting: You will receive a comprehensive monthly report detailing total active users, new purchases, refunds, cancellations, and your current active subscriber base.
• Notifications: You will receive an automated email notification for every successful referral purchase.

6. Ethical Marketing and Conduct

As a KarmaWallet Partner, you agree to avoid the following prohibited behaviors:

• Brand Bidding: Bidding on "KarmaWallet" or related brand keywords in PPC campaigns (Google Ads, Meta Ads, etc.).
• Deceptive Claims: Making false or misleading claims about the app's benefits or the Gita Engine.
• Impersonation: Presenting yourself as an official KarmaWallet employee or official corporate entity.
• Spam: Using unethical email marketing or mass-spamming on social media platforms.

Violation of these conduct rules may result in immediate termination and forfeiture of all unpaid commissions.

7. Intellectual Property

We grant you a non-exclusive, non-transferable, revocable right to use our approved logos, mockups, and brand assets solely for the purpose of promoting KarmaWallet. You may not alter our assets without written consent.

8. Limitation of Liability

KarmaWallet will not be liable for indirect, special, or consequential damages arising in connection with this Program. Our total liability is limited to the total commissions paid to you under this Agreement in the preceding six months.

9. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the jurisdiction in which KarmaWallet is registered, without regard to conflict of laws principles.
